Terms and Conditions

Djib Smart provides a cloud-based business management platform offering modules including invoicing, accounting, expense tracking, HR management, inventory management, transportation & logistics management, and point-of-sale systems ("Service"). The Service is available via web browser and mobile applications on iOS and Android.

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately via our contact form of any unauthorized use

You must be at least 18 years old and have the authority to accept these Terms on behalf of your organization if registering as a business.

The Service is offered on a subscription basis. The following billing terms apply:

• Subscription fees are billed in advance on a monthly or annual basis.
• All payments are processed by our authorized payment provider. By subscribing, you agree to that provider's terms of service and privacy policy.
• Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date through your account settings.
• We may change subscription prices with at least 30 days' notice. Price changes take effect at your next renewal.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Share your account credentials with unauthorized third parties
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Upload or transmit malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Store or transmit content that is defamatory, obscene, or infringes on third-party rights
• Use automated scripts to scrape, crawl, or extract data from the Service

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

All intellectual property rights in the Service — including but not limited to software, design, trademarks, logos, and content — are owned by or licensed to Djib Smart. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely during the term of your active subscription and in accordance with these Terms.

Your business data entered into the Service remains your property. You grant us a limited license to process that data for the purpose of providing the Service.

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

DJIB SMART DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DJIB SMART AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DJIB SMART IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

By you: You may cancel your subscription at any time through your account settings. Cancellation stops future billing; your access continues until the end of the current paid period.

By us: We may suspend or terminate your access immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of Djibouti. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Djibouti City, Republic of Djibouti.

Note: payment disputes may be subject to the terms of our payment processor.
